ClearEdge Automation Important Disclosures

This Important Disclosures document outlines critical information about the risks, limitations, and responsibilities associated with using ClearEdge Automation ("ClearEdge," "we," "us," or "our"), a software platform designed to automate futures trading strategies across supported brokers. By using ClearEdge Automation (the "Service"), you acknowledge and accept the risks and terms described below.

Trading involves risk and may not be suitable for all investors. By choosing to trade in a live account (cash margin) versus a simulated account (prop broker), you (the “User”) acknowledge and agree to read and accept the applicable hold harmless agreement. ClearEdge Automation utilizes proprietary broker accounts operated through simulated trading environments for live execution. Past performance of our in house offered strategies is not indicative of future results.

By agreeing to these important disclosures (the "User") hereby agrees to indemnify, defend, and hold harmless FjordPath, Inc., doing business as ClearEdge Automation, its officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Company"), from and against any and all claims, demands, losses, damages, liabilities, costs, expenses (including reasonable attorneys' fees), or actions arising out of or related to any trading losses incurred by the User, whether resulting from software errors in the Company's products or services, errors or omissions by the User, failures or malfunctions of third-party software or systems integrated with or used in conjunction with the Company's offerings, market volatility, or any other cause not constituting gross negligence or willful misconduct by the Company; provided, however, that this hold harmless agreement shall not apply to losses directly caused by the Company's intentional fraud or violation of applicable law, and the User acknowledges that trading involves inherent risks and waives any right to seek recovery from the Company for such losses except as expressly provided herein.

1. No Investment Advice

ClearEdge Automation is a tool for executing user-defined trading strategies and does not provide investment, financial, tax, or legal advice. We are not registered as an investment advisor, broker-dealer, or financial planner. All trading decisions, including strategy configuration, broker selection, and risk management, are solely your responsibility. Consult a qualified financial advisor before engaging in trading activities.

2. High Risk of Futures Trading

Futures trading involves a high degree of risk and is not suitable for all individuals. You may lose some or all of your invested capital. Key risks include:

  • Market Volatility: Futures markets can be highly volatile, leading to rapid and significant losses.

  • Leverage: Futures contracts often involve leverage, which can amplify both gains and losses.

  • Liquidity Risks: Some futures markets may have low liquidity, impacting trade execution and pricing.

  • System Risks: Technical issues, such as internet outages or software errors, may disrupt trading.

Engaging in futures, forex, and other financial trading involves significant risk and is not appropriate for all investors. It is possible to lose the entire amount of your investment, or even more. Only use risk capital—money you can afford to lose without impacting your financial security or lifestyle. Trading should only be undertaken by individuals who have the necessary risk capital and fully understand the risks involved. Past trading results do not guarantee future performance. Fjordpath, Inc. does not warrant the accuracy or completeness of the information provided and is not responsible for any losses or damages resulting from reliance on this information.

3. Hypothetical Performance Disclosure

Performance results based on hypothetical data have many inherent limitations and should not be relied upon as indicative of actual future performance. Hypothetical performance figures are often generated with the benefit of hindsight and do not involve financial risk, thus differing significantly from actual trading results. Many factors, including market conditions and the capacity to endure losses, can adversely affect real trading outcomes. Testimonials and other promotional materials on our website do not necessarily represent the experiences of other clients and do not predict future performance.

4. User Responsibility for Trading Decisions

ClearEdge Automation executes trades based on your configured strategies and signals (e.g., from TradingView or other webhook-compatible platforms). You are solely responsible for:

  • Strategy Selection: Choosing, testing, and validating trading strategies.

  • Broker Integration: Ensuring proper setup and authentication with supported brokers

  • Risk Management: Setting stop-loss, take-profit, and other risk parameters.

  • Signal Accuracy: Verifying the accuracy and reliability of signals from third-party providers.

ClearEdge Automation does not verify the suitability or profitability of your strategies or signals. Incorrect configurations or unreliable signals may result in unintended trades or losses.

5. No Guarantee of Performance

ClearEdge Automation is designed to execute trades quickly and reliably based on your instructions, but we do not guarantee:

  • Trade Execution: Delays or failures may occur due to broker systems, market conditions, or technical issues (e.g., internet connectivity, device performance).

  • Profitability: The Service does not guarantee profits or protection against losses.

  • System Uptime: While the Service runs locally on your device, interruptions may occur due to hardware, software, or network issues.

You must ensure your device or virtual private server (VPS) remains operational for continuous trade execution.

6. Third-Party Services

ClearEdge Automation software integrates with third-party brokers and platforms (e.g., TradingView, Trendspider). These services are subject to their own terms, conditions, and risks, which are beyond our control. You are responsible for reviewing and complying with the policies of these third parties. Fjordpath, Inc is not liable for issues arising from third-party services, such as broker outages, data inaccuracies, or platform limitations.

7. Local Execution and User Control

ClearEdge Automation runs locally on your device, giving you full control over your trading data (e.g., API keys, strategy configurations). However, you are responsible for:

  • Data Security: Protecting your device, API keys, and account credentials from unauthorized access.

  • System Maintenance: Ensuring your device or VPS meets the technical requirements for running the Service (e.g., stable internet, sufficient processing power).

  • Backups: Maintaining backups of your trading configurations and data.

ClearEdge does not store or access your trading data unless explicitly provided for support purposes.

8. Subscription and Cancellation

ClearEdge Automation is offered as a monthly subscription, which you may cancel at any time through your account settings. Access to the Service will continue until the end of the paid period. No refunds are provided for partial billing periods. We do not guarantee uninterrupted access to the Service due to technical, legal, or operational constraints.

9. Limitation of Liability

To the fullest extent permitted by law, ClearEdge Automation, its affiliates, and its employees shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from:

  • Losses incurred through trading activities.

  • Errors, delays, or failures in trade execution.

  • Reliance on third-party signals or strategies.

  • Technical issues, including software bugs or device failures.

You use the Service at your own risk, and ClearEdge’s liability is limited to the amount paid for your subscription.

10. Regulatory Compliance

CFTC Rule 4.41 Compliance Overview

In accordance with CFTC Rule 4.41, it is imperative to address the use of hypothetical or simulated performance results in any advertising materials. Such results, being inherently limited, do not stem from actual trading activities and, therefore, may misrepresent the impact of real market conditions, such as liquidity. These models, often constructed with the benefit of hindsight, lack predictive value regarding future trading outcomes.

It must be explicitly stated that no assurances are provided that any trading account will realize profits or losses akin to those illustrated by these hypothetical results. This mandatory disclosure serves to inform potential clients of these limitations and the inherent risks involved. Furthermore, it is essential to note that testimonials included within such advertisements are not indicative of all clients' experiences and do not serve as a guarantee of future performance or success. Past performance metrics should not be interpreted as reliable indicators of future results.

Compliance with these stipulations is not only a regulatory requirement but a critical measure to ensure transparency and protect potential investors from misleading representations. All advertisements must incorporate this specific disclosure language to remain compliant with CFTC Rule 4.41.

11. Community Strategies

ClearEdge Automation allows you to leverage trading strategies shared by the ClearEdge community. These strategies are provided for informational purposes only and are not endorsed or verified by ClearEdge. You assume all risks associated with using community strategies, and we are not liable for any resulting losses.

12. Limitations

  • Not Designed for HFT (High Frequency Trading) ClearEdge Automation is not intended for ultra short term scalping or HFT trading systems or strategies. A typical lag from signal to execution on broker is anywhere from 0.3 seconds to 2 seconds which can materially impact the performance of these strategies.

  • Signal Conflicts As ClearEdge Automation is a system that operates based on user defined alerts. It is the sole responsibility of the user to ensure that they do not have orders that conflict with one another. Overlapping signals can lead to unintended trade behavior as ClearEdge Automation does not account for open positions, pending orders or rapidly changing conditions.

  • No Broker State or Order Feedback Loop ClearEdge Automation does not currently provide broker or exchange order IDs, know your position state or account information for use in any strategy logic. We strongly recommend that users maintain their strategy state and trade logic externally on the signal side (IE Tradingview, Trendspider, DirectAPI) for their own environment. ClearEdge Automation is solely a signal routing and execution platform based on user defined and set up webhooks. Any incorrect trade logic on the signal side could lead to significant losses if used in a live trading environment. We strongly discourage use of our software in a live trading environment until a user is well acquainted with the use and limitations of the ClearEdge Automation platform. 

  • Not a “Set and Forget” Software ClearEdge Automation is a powerful software designed to automate and leverage automation and artificial intelligence in the execution of trading strategies, however it is not a self healing system. Things can and will go wrong. The user is solely responsible for monitoring their signals, trade logic, trading rules, open positions and broker connections. Signal misfires are rare but can happen for various reasons, namely use of a third party signal service (IE TradingView, Trendspider etc). We strongly recommend checking your account regularly, especially during periods of volatility, contract roll periods and after configuration changes. 

13. Changes to This Document

We may update this Important Disclosures document to reflect changes in our practices or legal requirements. Material changes will be communicated via email or a notice on our website (clearedge.trading). Continued use of the Service after changes indicates your acceptance of the updated terms.
